The short version. YellowBat is a free scorekeeping and league-organising app made by one small company. We keep the record; we do not run your league, referee your disputes, vouch for anyone you meet, or come to your field. Games happen in the real world and at your own risk. We provide the app as it is, and because we charge you nothing, what you can recover from us is nothing. Everything below says that more carefully.

1. Who you are agreeing with

YellowBat is created and operated by CABLN Group LLC, a Connecticut limited liability company ("CABLN", "we", "us"). These Terms of Use are an agreement between you and CABLN Group LLC covering the YellowBat mobile app, this website, and anything else we offer under the YellowBat name (together, the "Service").

By creating an account, or by using the Service at all, you accept these terms. If you do not accept them, do not use the Service. Our Privacy Policy is part of this agreement.

2. Who may use it

You must be at least 13 years old to have a YellowBat account. Accounts for children under 13 are not permitted, and we close any we find.

If you are 13 to 17, you may use the Service only with the permission and supervision of a parent or legal guardian, and that adult accepts these terms on your behalf and is responsible for your use of the Service. Understand that your name, photo and statistics form part of a public competition record that anyone can read.

One person, one account; you are responsible for everything that happens under yours, including keeping your password to yourself. Tell us promptly if you think someone else is using it.

Children in a game record

A child of any age may appear in a roster, a lineup or a backyard box score because an adult entered them. That is a name and a set of game statistics entered by someone else — it is not an account, and we collect nothing from the child.

If you add another person to a roster, lineup, box score or backyard session — including a guest with no account, and especially including a minor — you represent that you are entitled to do so and that you have the consent of that person or, for a minor, their parent or legal guardian. You are responsible for that representation and for any claim arising from it. A parent or guardian can write to hello@yellowbat.app at any time to see what is recorded about their child, correct it, or have it taken out, and we will act on that without requiring an account.

Coaches, managers and commissioners working with minors are responsible for their own compliance with whatever rules apply to them — league policy, league or venue insurance, background-check requirements, and any law governing youth sport where they are. We do not screen anyone and we do not supervise anything.

3. What it costs, and what that may become

YellowBat is free to use today. There is no subscription and no in-app purchase, and the tools that run a competition are free on purpose.

We may introduce paid features, subscriptions or other pricing in the future. If we do, we will say so before anything you are using starts costing money, nothing will begin charging you without your express agreement, and any purchase will be governed by additional terms and handled through the App Store. Nothing in these terms promises that any particular feature stays free.

Free or paid, we make no commitment that the Service will keep working, keep any particular feature, stay available in your country, or continue to exist. We may add, change, suspend or discontinue any part of it, including your access, at any time. If we shut the Service down, we will make a reasonable effort to tell you first, but we are not obliged to.

4. What YellowBat is, and what it is not

YellowBat is a tool for recording and displaying what people tell it. It is not an organiser, a governing body, a sanctioning authority, an insurer, or a party to anything you arrange through it.

Competitions belong to their organisers. Commissioners, staff and team managers control rosters, eligibility, schedules, rules, entry, scores and discipline inside their own competitions. We do not.
Scores and statistics are user-entered. Standings, leaderboards, box scores, brackets and career records are calculated from what users submit. A submitted score can auto-finalise if nobody responds. We do not verify any of it, and we do not guarantee it is accurate, complete or fair.
Disputes are settled by the commissioner, not by us. We have no obligation to investigate, overturn, correct or restore any score, standing, roster or record, and nothing here makes us a referee.
Following is not membership, a badge is not a permission, and a verification or official-partner mark is a label we apply for recognition only. It is not an endorsement, a guarantee of quality or safety, and it grants nobody any authority.

5. Playing in the real world

We owe you no duty of care for a game. We do not organise, sanction, supervise, staff, inspect, insure or attend anything. We do not own or control any field, yard or venue, we do not select or employ any organiser, manager or player, and we run no background checks on anyone. YellowBat records what happened; it does not put anybody on a field.

Assumption of risk. Backyard bat-and-ball games are a physical activity, and you take part entirely at your own risk. To the fullest extent permitted by applicable law, you assume all risk of, and release CABLN Group LLC from, any claim arising out of injury, illness, death, property damage or loss connected to any game, practice, session, travel, venue, organiser or person you learn about, arrange or coordinate through YellowBat.

Some states limit or refuse to enforce releases of this kind, particularly for recreational activities and particularly where a minor is involved. Where that is so, this section applies only as far as the law allows and the rest of these terms stays in force. Nothing here is intended to release a claim that cannot lawfully be released.

Use ordinary judgement when meeting people you do not know, and use more of it where children are involved. Whether you are properly insured, permitted to use a field, or fit to play is between you, your organiser and your venue.

6. Your content

Your photos, comments, crests, team names and the rest stay yours. To run the Service we need permission to use them for that purpose, so you grant CABLN Group LLC a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and publicly show your content inside YellowBat and in the share cards and public pages the Service generates. The licence lasts as long as the content is on the Service and, for anything already shared or embedded in a public game record, for as long as that record exists. We do not sell your content, and we will not use it in paid advertising without asking you.

You are responsible for what you upload. By posting it you confirm you have the rights to it, which matters most for logos, crests, photographs of other people and anything you did not make yourself.

The Service itself — the app, the code, the design system, the YellowBat name and mark — belongs to CABLN Group LLC. You may not copy, resell, reverse engineer, scrape in bulk, or build a competing product out of it.

7. Rules of conduct

Do not:

harass, threaten, bully or abuse anyone, or post hateful or sexual content;
impersonate another person, team, league or official;
enter scores, lineups or records you know to be false, or manipulate standings and leaderboards;
upload anything you do not have the right to upload;
post another person's private information;
attempt to access data, accounts or competitions you are not entitled to, or probe, scan or interfere with the Service;
use bots, scrapers or automated collection against the Service;
use the Service for gambling, betting or any unlawful purpose.

Comments can be reported and users can be blocked. Managers and commissioners can remove comments in their own patch. We may remove content or suspend or terminate an account at any time, with or without notice, for any reason — including a violation of these terms — and we are not liable to you for doing so. We are under no obligation to monitor content, and choosing to moderate something does not make us responsible for anything we do not.

8. Copyright complaints

If you believe something on YellowBat infringes your copyright, email hello@yellowbat.app with enough detail to identify the work and the material, where it is in the app, your contact details, a statement that you believe in good faith the use is not authorised, and a statement under penalty of perjury that your notice is accurate and that you are the owner or their agent. We remove infringing material and terminate repeat infringers. Notices may be sent to our designated agent at that address: CABLN Group LLC, Connecticut, USA. If you believe your material was removed in error, you may send a counter-notice to the same address.

9. Third-party services and links

Organisers can attach YouTube, Instagram or stream links, and the Service relies on third-party providers for hosting, authentication and storage. We do not control any of them, we do not host video, and we are not responsible for their content, availability, or what they do with your data once you leave YellowBat.

10. The Service is provided as it is

No warranties. The Service is provided "as is" and "as available", with all faults. To the fullest extent permitted by law, CABLN Group LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that scores, statistics, standings, brackets or distances will be accurate; or that data will never be lost. Keep your own copy of anything you cannot afford to lose.

11. Limitation of liability

Limit. To the fullest extent permitted by law, CABLN Group LLC and its members, managers, officers, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, lost opportunity, loss of goodwill, or personal injury or property damage, arising out of or related to the Service or these terms — whether the claim is based in contract, tort, negligence, strict liability, warranty or anything else, and even if we were told such damages were possible.

Our total liability for all claims in the aggregate will not exceed the total amount you have paid us for the Service in the twelve months before the claim arose. The Service is free, so that amount is zero dollars ($0). If a court of competent jurisdiction holds that a limitation to zero is unenforceable, then our total aggregate liability will not exceed one hundred US dollars ($100), and if that is also held unenforceable, our liability will be limited to the smallest amount permitted by law.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so parts of the two sections above may not apply to you. Where that is the case, our liability is limited to the smallest amount the law permits. These limits survive termination of your account and apply even if a limited remedy fails of its essential purpose.

12. Indemnification

You agree to defend, indemnify and hold harmless CABLN Group LLC and its members, managers, officers, contractors and agents from any claim, demand, loss, liability, damage, cost or expense, including reasonable legal fees, arising out of your use of the Service, your content, your conduct at or in connection with any game or competition, your violation of these terms, or your violation of anyone else's rights. We may take over the defence of any such matter at your expense, and you will not settle it without our written agreement.

13. Ending it

You can stop using the Service whenever you like, and you can delete your account inside the app at Profile → Settings → Delete account. You do not need to ask us. What happens to each kind of content — profile, photos, comments, crests, game records — is set out in the Privacy Policy.

We may suspend or terminate your access at any time. When an account ends, the public competition record — games, scores, standings and box scores — remains, because removing one participant's rows would misstate every other participant's season. Sections 4 through 16 survive termination.

14. Disputes, governing law and venue

If something goes wrong, email us first at hello@yellowbat.app. Most things can be sorted out that way, and we ask that you give us 30 days to try before starting a formal proceeding.

These terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. Any dispute that is not resolved informally must be brought exclusively in the state or federal courts located in Hartford County, Connecticut, and you consent to the personal jurisdiction of those courts. To the fullest extent permitted by law, each party waives any right to a jury trial, and claims must be brought individually rather than as a class or representative action. Any claim must be filed within one year after it arises, or it is permanently barred.

15. If you downloaded from the App Store

These terms are between you and CABLN Group LLC, not Apple. Apple has no obligation to provide support for YellowBat and no responsibility for any claim about it, including product liability, legal compliance or intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm you are not in a country subject to a US embargo or on a US restricted-parties list, and that you will comply with any applicable third-party terms.

16. The rest

These terms, together with the Privacy Policy, are the entire agreement between us about the Service. If a provision is held unenforceable, the rest stays in force and that provision is narrowed to the minimum extent needed. Our not enforcing something is not a waiver of it. You may not transfer your rights under these terms; we may assign ours in connection with a merger, acquisition or sale of assets. Nothing here creates a partnership, employment or agency relationship between us. We may update these terms; we will change the date at the top and, for a significant change, say so in the app, and continuing to use the Service after that means you accept the update.

17. Independence and trademarks

YellowBat is an independent product built and operated by CABLN Group LLC. It is not affiliated with, endorsed by, sponsored by, or otherwise connected to any manufacturer of bats, balls or sporting goods, nor to any league, association or governing body.

Any third-party names, brands or trademarks that appear anywhere in the Service or on this site — including any typed by users into team names, competition names, profiles or comments — remain the property of their respective owners. Their appearance does not imply any endorsement, sponsorship or affiliation in either direction.

YellowBat describes a category of backyard bat-and-ball games generally. We do not claim rights in anybody else’s marks, and we do not license yours. If you believe a name used in the Service infringes a trademark you own, write to hello@yellowbat.app and we will review it.
